Terms and Conditions – Visible Web

These Terms and Conditions (“Terms”) govern the use of services provided by Visible Web (“Company,” “we,” “us,” or “our”).
By engaging our services, you (“Client” or “you”) agree to comply with and be bound by these Terms. Please read them carefully.

Agreement Overview

This Agreement is entered into between Visible Web and the Client for the provision of website development, software development, digital marketing services, and any additional services outlined in a signed proposal or service agreement.

By accepting a proposal, making payment, or using our services, the Client agrees to these Terms.

Services Provided

Services may include, but are not limited to:

• Website Development
• Software Development
• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) Campaign Management
• Social Media Management
• Content Creation
• Branding & Strategy
• Ongoing Maintenance & Support

Specific services, timelines, deliverables, and pricing are detailed in the signed contract or proposal between Visible Web and the Client.

Client Responsibilities

• Provide all necessary materials, content, login credentials, hosting details, and domain access in a timely manner.
• Provide feedback, approvals, and revision requests within reasonable timeframes.
• Ensure submitted content is accurate, lawful, and does not infringe third-party rights.
• Make payments as outlined in the signed agreement.

Failure to provide required materials or timely communication may delay project timelines and does not entitle the Client to refunds.

Service Provider Responsibilities

• Deliver services in accordance with industry standards and best practices.
• Maintain reasonable communication throughout the project.
• Provide performance updates and reports as agreed.
• Implement reasonable security measures to protect Client data.

Payment Terms

• Pricing and payment schedules are outlined in the signed agreement.
• A 50% non-refundable deposit is required for fixed-price projects unless otherwise agreed.
• The remaining balance is due according to agreed milestones.
• Late payments beyond 15 days may result in service suspension.
• Payments overdue by 30 days may incur a $100 late fee.

Visible Web reserves the right to pause work until outstanding balances are cleared.

Refunds & Cancellations

Refunds are governed by our Refund Policy, which forms part of these Terms.

• No refunds will be issued once work has commenced.
• Cancellation after work has started will result in billing for work completed.
• If cancellation occurs before work begins, a full refund may be issued.

Intellectual Property & Ownership

Upon full payment:

• The Client owns the final approved deliverables.
• Visible Web retains the right to showcase completed work in portfolios unless otherwise agreed.

Marketing strategies, methodologies, frameworks, and proprietary systems remain the intellectual property of Visible Web unless explicitly transferred in writing.

SEO & PPC Disclaimer

Visible Web does not guarantee specific results such as:

• First-page rankings
• Increased traffic
• Leads or conversions
• Return on ad spend

Campaign performance depends on factors beyond our control, including:

• Algorithm updates
• Market competition
• Industry changes
• Advertising platform policies

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information, including:

• Business strategies
• Marketing plans
• Financial data
• Customer information

Data Protection

Visible Web is committed to protecting personal and business data in accordance with applicable data protection laws.

We do not sell, rent, or share personal information except:

• To fulfill services
• To comply with legal requirements
• To process payments through secure providers

Limitation of Liability

Visible Web shall not be liable for:

• Indirect or consequential damages
• Business interruption
• Data loss
• Third-party service failures

Our total liability shall not exceed the total amount paid by the Client for services rendered.

Termination

The Client may terminate services with written notice, subject to payment obligations for work completed.

Visible Web reserves the right to terminate services if:

• Payments are not made
• Illegal or prohibited content is provided
• Terms are violated

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States.

Any disputes shall be resolved through binding arbitration in Delaware unless both parties agree otherwise.

Amendments

Visible Web reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of revised Terms.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.

Entire Agreement

These Terms, along with any signed contract, proposal, Privacy Policy, and Refund Policy, constitute the entire agreement between Visible Web and the Client.
